Well, very generally yes – but it would largely depend on the complexity of the company itself, and the nature of the change.

No. You would have to shut down and start over, and give any extra funds to an organization doing similiar work. Better to start as a for profit.

I’m not sure if this is something that an atty. needs to get involved in. Can we just list it as voted on in meeting minutes or does there need to be an official document saying that she is now listed as president.

The answer is NO! The articles should list the President, but not by name. That way change isn’t necessary. It only needs to be reflected in the minutes of annual meeting/or quarterly board minutes.

The minutes provide the flex to "name-names", the "Articles" need title only!
